The Panel on Takeovers and Mergers (the “Panel” or “Takeover Panel”) is an independent body, which was established in 1968. It has responsibility to issue, review and administer the City Code on Takeovers and Mergers and as it’s name suggests supervising and regulating takeovers and other matters to which the City Code applies.

Since 2004 the Panel has been designated by the European Union as the supervisory authority that is to carry out certain regulatory functions in relation to takeovers pursuant to the EU Directive on Takeover Bids.

In theory the Panel regulates takeover bids and other merger transactions for companies which have their registered offices in the United Kingdom, the Channel Islands or the Isle of Man if any of their securities are admitted to trading on a regulated market in the United Kingdom or on any stock exchange in the Channel Islands or the Isle of Man. However there have been several instances of the Panel ruling that the Code does not apply to some companies that do have their registered offices in the Channel Islands or the Isle of Man.

Also in theory the Panels remit also extends to unlisted companies and even to certain private companies that are resident in the United Kingdom, the Channel Islands or the Isle of Man.
